WLGA By-laws

Article 1
Purpose and Eligibility

Section 1
This association shall be known as the Waterford Ladies Golf Association, hereafter referred to as the ‘WLGA’. The purpose of the WLGA is to stimulate interest and participation in the game of golf and to promote comradeship and enjoyment among the members. To this end, the WLGA shall provide regular competitive golfing events under equitable conditions as determined by the rules and handicapping system of the United States Golf Association (USGA).

Section 2
A WLGA member must be a female amateur golfer. For eighteen holes (18) WLGA membership she must hold a current USGA handicap and have a 40.4 or less handicap index. (Amended 10/16/18)

Section 3
The annual dues shall be determined by the Board of Directors. Any member delinquent as of January 1st will be ineligible to play in any event sponsored by the WLGA until her dues are paid.

Article II
Board of Directors

Section 1

The Board of Directors shall consist of four (4) officers (President, Vice President, Secretary and Treasurer), the immediate Past President and three (3) Directors who shall be elected by the membership, and the Tournament Chairperson representing the Standing Committees (Handicaps, Rules, and Tournaments). (Amended 2/13/24) TheTournament Chairperson shall be appointed by the President. 

They shall hold office for a period of one year with the following exceptions:

The Treasurer will be elected to a two year term.

The Vice-President will be willing to allow her name to stand for election to the office of President the following year.

The Nominating Committee has the option of requesting any member extend any of these terms. The term of office shall begin immediately after the election at the annual meeting. No Officer or Director at large shall serve more than two consecutive terms in the same office/position.(Amended 12/7/2021)

Section 2
Subject to the provisions of the BY-LAWS and to such action as may be taken at any meeting of the WLGA, the Board of Directors shall have complete control and management of the affairs, property and policies of the WLGA.

Section 3

The WLGA President shall annually appoint, with majority approval of the Board of Directors, Tournament, Rules and Handicap Chairpersons. (Amended 2/13/24)

Section 4

Members of the WLGA have playing privileges only. The WLGA has, therefore, no voice in the management of the Club or in the maintenance of the golf course. In order to achieve the purpose of the WLGA, however, it is essential that a spirit of cooperation prevail between WLGA and the Club management. Therefore, theBoard shall ensure that all WLGA activities are coordinated with the Club management, keep them well informed in advance of planned events, and obtain their approval prior to announcing activities involving use of the Club facilities.


Article III
Elections, Officers, Duties, Meetings

Section 1
Elections
A Nominating Committee shall be appointed by the President and approved by the Board sixty (60) days prior to the annual meeting. The committee shall consist of one (1) member of the Board and two (2) members of the WLGA at large. The Nominating Committee shall choose who will stand for election as Officers or Board Members for the ensuing year. Members of the WLGA shall be advised of the nominees by the posting of the names on the WLGA bulletin board at least 15 days prior to the annual meeting.

Section 2
Officers

The officers and Board of Directors members shall be elected at the annual meeting of the WLGA. The President shall fill vacancies occurring during the year through appointment with concurrence of the Board. (Amended 2/13/24)

Section 3
Duties
a. The PRESIDENT shall preside over all meetings of the WLGA and the Board of Directors. She shall serve ex-officio on all committees except the Nominating Committee.
b. The VICE-PRESIDENT shall assume the duties of the President in the event of absence, disability or retirement of the President and must be willing to accept the Office of President the following year if so elected.
c. The SECRETARY shall keep minutes of meetings of the Board and the WLGA and maintain these minutes in a permanent manner. She shall issue notices of all Board and WLGA meetings. She shall cause a ballot to be available and distributed to the WLGA members at the Annual Election.
d. The TREASURER shall keep an accurate record of all monies received and disbursed and shall publish financial reports at all meetings of the Board of Directors. She shall keep an accurate list of all paid members.

Section 4
Meetings

The annual meeting shall be held in January at which time election of officers shall be held. Quorum at any meeting shall constitute twenty (20) percent of the membership of the WLGA. Special meetings may be called by the President or upon written request signed by ten (10) percent of the members in good standing. At least fifteen (15) calendar days notice of any special meeting shall be posted at Waterford Golf Club. (Amended 2/13/24)


Article IV
Committees and Tournaments

Section 1
By-Laws Committee
A By-Laws Committee shall be appointed by the President when a change(s) to the By-Laws is proposed. After review and recommendation by the committee, the proposed change(s) shall be submitted to the WLGA Board of Directors. After approval of the Board, the proposed changes shall be submitted to the membership at the annual, semi-annual or special meeting for final vote. Notice of proposed changes to the By-Laws must be posted at Waterford Golf Club clubhouse at least thirty (30) days prior to being voted upon. The Board of Directors shall be the final authority on all questions relative to the interpretation of the By-Laws.

Section 2
Special Committees
The President may appoint special committees, when necessary, in order to achieve the objectives and purposes of the WLGA.

Section 3
Committee Membership
Committee Chairperson may appoint as many members as she deems necessary to achieve objectives.

Addendum to By-Laws

Section 4
Tournament Money
All money received or realized from any WLGA tournament shall be used for that tournament. No money shall be reserved, earmarked or saved for another tournament. Any money left from any tournament due to over-estimating expenses, under-estimating revenues or other unforeseen circumstances, shall be deposited in the WLGA general fund.
